1The Service

MAVYN is a business-to-business platform that helps mortgage companies and their branches run their pipeline, production, financials, coaching, recruiting, and related workflows. We may add, change, or discontinue features over time to improve the Service.

2Eligibility & accounts

• MAVYN is for business use by authorized professionals; you must be at least 18 years old.
• Access is granted by invitation or written agreement with your organization. You are responsible for keeping your login credentials secure and for all activity under your account.
• Notify us promptly at nick@mavynhq.com if you suspect unauthorized access.

3Acceptable use

You agree not to:

• Use the Service unlawfully or in violation of any applicable regulation, including lending, privacy, and telemarketing laws;
• Access data you are not authorized to view, or attempt to breach or probe our security;
• Reverse engineer, copy, resell, or create derivative works from the Service except as permitted by law;
• Upload malicious code or interfere with the Service's operation or other users.

4Customer Data & ownership

As between you and us, your organization owns the business records you enter or import into MAVYN ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and support the Service. We will handle Customer Data in accordance with our Privacy Policy and any separate agreement with your organization.

5Access, plans & fees

Access to MAVYN is provided under the plan or written agreement between us and your organization. Any fees, billing terms, and subscription details are set out in that agreement. Unless stated otherwise there, fees are non-refundable except as required by law.

6Notifications & messaging

By using the Service, you agree to receive account, transactional, and service communications. Where your organization enables text alerts and you opt in, you consent to receive SMS messages; message and data rates may apply, and you may reply STOP to opt out at any time. 7Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by The Zeoli Group LLC and its licensors and is protected by intellectual-property laws. "MAVYN" and related marks are ours. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

8Third-party services

The Service relies on and may integrate with third-party providers (for example, hosting, authentication, and messaging vendors). We are not responsible for third-party services, and your use of them may be subject to their own terms.

9Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. MAVYN is a workflow and information tool; it does not provide legal, financial, tax, or compliance advice, and you remain responsible for your own regulatory obligations.

10Limitation of liability

To the fullest extent permitted by law, The Zeoli Group LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to the Service. Our total liability for any claim relating to the Service will not exceed the amounts your organization paid us for the Service in the twelve months before the event giving rise to the claim.

11Indemnification

You agree to indemnify and hold harmless The Zeoli Group LLC from claims, damages, and expenses arising out of your misuse of the Service or violation of these Terms or applicable law.

12Term & termination

These Terms apply while you use the Service. We may suspend or terminate access if you violate these Terms or to protect the Service or its users. Your organization may stop using the Service at any time in accordance with its agreement with us. Provisions that by their nature should survive termination will survive.

13Governing law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Oakland County, Michigan for any dispute not subject to another written agreement between us.

14Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Continued use of the Service after an update means you accept the revised Terms.
